Terms and Conditions of Use of Sarvflow Ltd

1. Parties, Definitions and Interpretation
1.1 Parties
These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between:
(a) Sarvflow Ltd, a private limited company incorporated in England and Wales with company number 16629493 and having its registered office at [Insert Registered Office Address] (“Sarvflow”, “we”, “us”, or “our”); and
(b) the individual or legal entity who accesses, browses, registers an account on, or otherwise uses any aspect of the Services (“you”, “your”, or “User”).
1.2 Definitions
For the purposes of these Terms:
“Applicable Law” means all laws, statutes, regulations, rules, directives, and guidance notes having binding legal effect in the United Kingdom (including the retained EU law under the European Union (Withdrawal) Act 2018), and, where applicable, the laws of any other jurisdiction.
“Open Banking Data” means account and transaction information accessed via a third-party account information service provider (“AISP”) such as Tink AB.
“Personal Data” has the meaning given in the UK GDPR.
“Services” means collectively the Sarvflow website, mobile application(s), any software, APIs, content, functionality, and features made available by Sarvflow.
“Third-Party Services” means any services, content, or applications provided by third parties and integrated with or accessible via the Services.
1.3 Interpretation
Words importing the singular include the plural and vice versa.
Headings are for convenience only and do not affect interpretation.
References to a statute or regulation include all subordinate legislation made under it and any amendments or re-enactments thereof.
2. Acceptance of Terms
2.1 By accessing or using the Services, you expressly acknowledge, represent, and warrant that:
(a) you have read, understood, and agree to be bound by these Terms in their entirety; and
(b) you also agree to our Privacy Policy and Cookie Policy, which form an integral part of this agreement.
2.2 If you do not agree to these Terms, you must immediately cease all access to and use of the Services.
3. Eligibility
3.1 You may use the Services only if you:
(a) are at least eighteen (18) years of age;
(b) have the legal capacity and authority to enter into binding contracts; and
(c) will comply with all Applicable Law.
4. Nature of the Services
4.1 The Services are an AI-enabled lifestyle and financial management platform that provides, inter alia, behavioural nudges, lifestyle suggestions, and financial insights based on Personal Data, Open Banking Data, and other information supplied or generated in connection with your use of the Services.
4.2 You acknowledge that:
(a) Sarvflow is not authorised by the Financial Conduct Authority to provide regulated financial advice;
(b) all outputs are generated for informational purposes only and do not constitute investment advice, legal advice, medical advice, or any other regulated professional service; and
(c) you are solely responsible for any decisions you make based on the Services.
5. Account Registration and Security
5.1 You may be required to create an account in order to access certain features of the Services. You agree to provide true, accurate, current, and complete information during registration and to keep such information updated.
5.2 You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us without undue delay at contactus@sarvflow.com if you suspect any unauthorised access.
6. Fees and Payment Terms
6.1 Certain features of the Services may require payment of fees. Where applicable, all fees will be clearly disclosed prior to purchase.
6.2 Unless otherwise required by Applicable Law, all payments are final, non-cancellable, and non-refundable.
7. Data Usage and Licensing
7.1 You retain ownership of all data and content you submit, but grant Sarvflow a worldwide, non-exclusive, royalty-free, fully paid-up licence to process, store, analyse, and use such data strictly in accordance with our Privacy Policy.
7.2 You grant Sarvflow the right to use anonymised and aggregated data for the purposes of analytics, research, statistical purposes, product improvement, and industry trend reporting.
8. Open Banking Integration
8.1 Where you connect your accounts to the Services via Tink AB (a company authorised by the Swedish Financial Supervisory Authority and registered in the UK as an AISP under the Payment Services Regulations 2017), you:
(a) provide explicit consent for Sarvflow to retrieve and process Open Banking Data (including, without limitation, account balances, transactions, account identifiers, and credit/debit card data);
(b) acknowledge that Sarvflow never stores your banking credentials, but instead uses secure, encrypted access tokens issued via Tink; and
(c) may revoke your consent at any time via the Services or directly with your account-holding bank.
8.2 We will only use Open Banking Data to deliver the Services to you, and we will retain such data for no longer than is necessary for the purpose for which it was collected, subject to our Privacy Policy and Applicable Law.
9. Intellectual Property Rights
9.1 All intellectual property rights in the Services, including but not limited to software, algorithms, databases, trademarks, logos, designs, and other proprietary materials, are owned by or licensed to Sarvflow.
9.2 You may not reproduce, distribute, transmit, modify, create derivative works from, reverse engineer, or otherwise exploit any portion of the Services without our express written consent.
10. Prohibited Conduct
You agree that you will not:
(a) use any automated system to access, scrape, or index the Services;
(b) upload or transmit malicious code or harmful content;
(c) interfere with or attempt to disrupt the security, integrity, or performance of the Services;
(d) use the Services to infringe the rights of any third party; or
(e) engage in any activity that violates Applicable Law.
11. Disclaimers
11.1 The Services are provided on an “as is” and “as available” basis without any warranties of any kind, whether express, implied, or statutory.
11.2 To the maximum extent permitted by law, we disclaim all warranties, including without limitation merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
12. Limitation of Liability
12.1 To the fullest extent permitted by Applicable Law:
(a) Sarvflow shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm; and
(b) Sarvflow’s aggregate liability to you for any claim in any twelve (12) month period shall not exceed the total fees paid by you to Sarvflow in that period.
13. Indemnification
You agree to indemnify, defend, and hold harmless Sarvflow, its affiliates, directors, officers, employees, contractors, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
(a) your use of the Services;
(b) your breach of these Terms; or
(c) your violation of Applicable Law or any third-party rights.
14. Termination
14.1 We may suspend or terminate your access to the Services at our sole discretion, with or without notice, if we believe you have violated these Terms or Applicable Law.
14.2 Upon termination, all rights granted to you under these Terms will immediately cease, but any provisions which by their nature should survive will continue in full force and effect.
15. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
16. Force Majeure
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, governmental action, or internet outages.
17. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Sarvflow regarding your use of the Services and supersede any prior understandings, agreements, or representations.
18. Changes to Terms
We may revise these Terms from time to time. Any material changes will be communicated via email or in-app notification. Your continued use of the Services after such changes will constitute your acceptance.
